Rewards Program Terms

These Rewards Program Terms ("Rewards Terms") govern the REO Rewards program (the "Program"), operated by REO Industries, Inc., a Texas corporation ("REO," "we," "us"). The Program lets reservation holders share a personal referral link and earn build credits, gear, and experiences. These Rewards Terms are part of, and should be read with, the Reservation Agreement, Payment Terms, Build Deposit Agreement, and Privacy Policy. By sharing your referral link or claiming any Program reward, you agree to these Rewards Terms.

1. How the Program Works

Every account with a paid reservation gets a personal referral link. When someone new reserves a REO vehicle through your link, they become your Qualified Referral if all of the following stay true:

• they are a real, distinct person with their own account, created after yours;
• they placed a paid reservation through your link, and that reservation remains active (not cancelled or refunded);
• they are not you, and neither of you is suspended from the Program.

Referral attribution is determined by our systems (last referral link clicked, subject to our anti-abuse rules) and our records are controlling.

2. Build Credits

You earn a $2.00 build credit for each Qualified Referral. There is no cap on the number of credits you can earn.

• Credits are a discount, not money. They have no cash value, earn no interest, and can never be redeemed for cash, gift cards, or anything other than a discount on the purchase price of a REO vehicle.
• Credits are applied at purchase. When you enter a Purchase Agreement for a REO vehicle, your available credits are applied against the vehicle purchase price, up to 100% of that price. Credits beyond one vehicle's price remain on your account and may be applied to additional REO vehicles you purchase.
• Credits are recalculated continuously. If a person you referred cancels or is refunded before your credits are applied, the associated credit goes away. Your displayed tally is an estimate until the moment credits are applied at purchase.
• Credits are personal. They are not transferable, not assignable, not sellable, and expire if your account is closed or if the Program is terminated for fraud or abuse as described below.

3. Milestone Rewards

At certain referral counts you earn milestone rewards — gear (such as the mini die-cast truck, hat, shirt, hoodie, or jacket) and experiences (such as a factory tour, test-drive event, a personalized build plate, factory pickup of your vehicle, or attendance at early production milestones). The current ladder is shown in your account.

• Delivery rides with your build. Milestone rewards are earned by referrals and delivered with committed builds: physical gear ships with your vehicle at delivery, and experience rewards are scheduled by REO around production. Delivery of milestone rewards may require an active Build Deposit under the Build Deposit Agreement once that stage opens. Experiences may have their own logistics requirements (such as travel at your own expense, scheduling windows, and safety rules).
• No substitutions or cash equivalents. Milestone rewards have no cash value and cannot be exchanged. REO may substitute an item of equal or greater value.
• Availability. Experience-tier rewards depend on facilities and production timing and may be rescheduled. Dates we communicate are targets, not commitments.

4. Eligibility

You must be at least 18 years old, a U.S. resident, and hold a reservation in good standing to participate. One Program account per person. REO employees and contractors may earn credits but may be excluded from milestone experiences.

5. Playing It Straight

The Program rewards genuine word of mouth. The following are prohibited, and referrals arising from them do not count:

• Self-referrals in any form, including referring accounts you control or funding referred reservations with your own payment method;
• creating accounts or reservations for people who did not ask for them, or paying people to reserve;
• spam: bulk unsolicited email, texts, robocalls, or messages that violate law (including CAN-SPAM and the TCPA) or platform rules. Share your link personally, to people you know, or on your own public channels;
• misrepresenting REO, the vehicle, pricing, or the Program (including presenting your link as an official REO advertisement);
• bidding on REO trademarks or registering lookalike domains to capture traffic;
• any scheme whose purpose is to manufacture referral counts rather than real reservations.

REO may investigate any activity and may, acting reasonably, disqualify referrals, remove credits, suspend accounts from the Program, or cancel reservations connected to fraud or abuse (reservation deposits are refunded per the Reservation Agreement). If we suspend your Program participation, we will tell you at your account email, and you may respond to hello@reotrucks.com.

6. Not a Job, Not a Security, Not a Promise of Income

Participating does not make you an employee, agent, contractor, or representative of REO, and you have no authority to bind REO. Credits are rebates against a future vehicle purchase, not compensation. We make no promise that you will earn anything.

7. Taxes

Rewards are structured as purchase-price discounts and delivery-time gear. To the extent any reward is taxable to you, you are responsible for your own taxes, and REO may require tax information where the law requires reporting.

8. Changes and Termination

We may modify or terminate the Program at any time. Changes apply prospectively: credits and milestones you have already earned under these Rewards Terms are not reduced retroactively, except for fraud or abuse under Section 5. If the Program ends, earned credits remain redeemable at your vehicle purchase unless REO permanently discontinues the vehicle program, in which case credits (which have no cash value) terminate.

9. Everything Else

The disclaimers, limitation of liability, indemnification, governing law, dispute resolution and arbitration, and time-limit-on-claims provisions of the Reservation Agreement apply to the Program and are incorporated into these Rewards Terms. For the Program, REO's total aggregate liability will not exceed $100 or the amount of your Build Lock deposit, whichever is greater.
