Build Deposit Agreement

Program status: the Build Lock stage is not open yet. REO is not accepting Build Deposits today, and nothing on the site will take one. This Agreement is posted early so you can read how the stage will work before it opens. It takes effect only when REO begins accepting Build Deposits, and it may be revised up to that point — the version posted when you pay is the one that governs your deposit. Earning rewards under the Rewards Program Terms is live now and is not affected by this stage being closed.

This Build Deposit Agreement ("Agreement") governs the $500 Build Lock deposit (the "Build Deposit") between you and REO Industries, Inc., a Texas corporation ("REO," "we," "us"). It is part of, and should be read with, the Reservation Agreement, Rewards Program Terms, and Privacy Policy. By paying the Build Deposit, you agree to this Agreement.

1. What the Build Deposit Is

The Build Deposit is a $500 payment that is applied, in full, to the purchase price of your REO vehicle when you enter a Purchase Agreement. It signals a committed build and unlocks delivery of rewards you earn under the Rewards Program Terms.

It is not a vehicle order. It does not lock a price, configuration, production slot, or delivery date, and it does not obligate REO to manufacture, offer, or deliver any vehicle.

2. The Build Deposit Is Non-Refundable

Except as stated in this Section, the Build Deposit is non-refundable. You acknowledged this before paying. The Build Deposit will be refunded in full only if:

• REO cancels your reservation or account other than for fraud, abuse, or your breach of these terms;
• REO permanently discontinues the vehicle program before you have an opportunity to purchase; or
• a refund is required by applicable law.

If you never purchase a vehicle, the Build Deposit is not returned. If a refund is owed under this Section, that refund is your sole and exclusive remedy in connection with the Build Deposit.

3. How We Handle It

Build Deposits are not held in escrow or trust. REO may use them for general company purposes, including vehicle development and operations.

4. What It Unlocks

An account with an active Build Deposit is eligible for delivery of milestone rewards earned under the Rewards Program Terms: gear ships with your vehicle at delivery, and experience-tier rewards require an active Build Deposit at the time of the event. One Build Deposit per account is required regardless of how many vehicles you ultimately purchase; it applies to the purchase price of your first vehicle.

5. Personal to You

The Build Deposit and anything it unlocks are personal to you and non-transferable, except by operation of law.

6. Chargebacks

You agree to contact hello@reotrucks.com to resolve any billing question before initiating a chargeback, and not to initiate a chargeback for a charge you authorized under this Agreement. Your acknowledgment of the non-refundable nature of the Build Deposit is recorded at checkout.

7. Everything Else

The disclaimers, limitation of liability, indemnification, governing law, dispute resolution and arbitration, and time-limit-on-claims provisions of the Reservation Agreement apply to this Agreement and are incorporated by reference, except that REO's total aggregate liability in connection with the Build Deposit will not exceed $500. Changes to this Agreement apply prospectively only; your Build Deposit is governed by the version in effect when you paid it.
